Terms of Use of LEGID App
1. General Provisions
1.1. These Terms (hereinafter referred to as the Terms) constitute an offer of LEGID LawTech OÜ (hereinafter referred to as LEGID) to an Internet user (hereinafter referred to as the User) to use LEGID.
1.2. LEGID is a mobile application that allows the User to seek, compare and receive legal services on-demand through an Artificial Intelligence (AI) powered auction-style marketplace (hereinafter referred to as the Service). The Service is a database of users, seeking for legal services, legal professionals, materials and documents. It is a database within the meaning of the Copyright Act and the exclusive right of the maker of the database belongs to LEGID. By using the Service, the User acquires the right to use the database only to the extent necessary to request legal services through the Service.
1.3. The User’s work with the Service is governed by these Terms, Privacy Policy (https://www.legid.app/app-privacy-policy-c) and other relevant documents of LEGID, if required, depending on the type of legal relationship
(hereinafter jointly referred to as the Regulatory Documents).
1.4. Upon starting using the Service and its functions, the User is subject to and deemed to have accepted these Terms and provisions of the Regulatory Documents, in full, without any qualification or exception. If the User does not accept any provisions of the Terms and/or Regulatory Documents, the User shall not use the Service.
1.5. LEGID may, at any time with a notice in advance to the User, amend provisions of these Terms and provisions of the Regulatory Documents. The current version of the Terms is available at: https://www.legid.app/app-terms-of-use-c. The risk of failing to read a revised version of the Terms and Regulatory Documents shall be borne by the User; the continued use of the Service following the amendment of the Terms or Regulatory Documents shall constitute consent to the revised version thereof.
1.6. The User shall stop using the Service, if it does not accept any amendments to these Terms and/or Regulatory Documents made by LEGID in the manner prescribed by cl. 1.5 hereof.
1.7. The Service allows the User to place information, free of charge, on the User’s potential demand for services involving the provision of legal services (hereinafter referred to as the Request), receive and compare (auction-style, using ratings) proposals of organizations providing services (hereinafter referred to as partners) in the said field, and seek for such proposals using parameters set by the User. All currently available functions of the Service along with any developments thereof and/or newly added functions are subject to these Terms.
1.8. Conditional on the User’s region, any or all functions of the Service can be inaccessible or limited. The functions are deemed to be inaccessible (limited) for the User from a certain region, if such a User is unable to use them explicitly. It is prohibited to apply any technical and software-based methods to circumvent these limitations. Provisions of these Terms governing functions of the Service inaccessible (limited) for the User shall not be applied to the User until such functions become explicitly accessible for the User. Information on the accessibility of functions of the Service in a certain region shall be provided to the User upon its request sent to LEGID.
1.9. LEGID is an information society service provider. For the avoidance of doubt, LEGID does not provide legal services, legal process outsourcing or any other services related to legal services.
1.10. The legal services are provided to the User, according to a contract for legal services (available at: https://www.legid.app/app-contract-c) with the Service’s partner concluded with the latter through the Service. The Service’s partner and the User may not agree on terms that are in conflict with the standard terms of the contract for legal services within the Service.
1.11. From time to time to time the Service’s partners may provide legal services free of charge. In this case provisions starting from the second sentence of cl. 2.7, cl. 2.8 to 2.12 and cl. 3 hereof shall not apply.
1.12. The Service can be used by a natural person of at least 18 years old or legal entity. The Service may be used on behalf of a legal entity by a legal or authorized representative of the legal entity.
1.13. By using the Service, the User gives its consent to receive advertising messages concerning the Service and its functions. The User may refuse to receive advertising messages by using the relevant functionality of the Service or following instructions specified in the received advertising message.
2. Use of the Service
2.1. The Service is provided to the User for personal or commercial use, depending on the parameters set by the User. The User requesting legal services must register an account with the Service.
2.1.1. By default, the User is proposed to send a Request through the Service to all Service’s partners, which areas of specialization, language skills, competencies, education and experience match the Request criteria, being able to choose a certain Service’s partner at own discretion. LEGID automatically determines Service’s partners, which will receive the Request for execution, according to LEGID’s algorithms. Once the User places the Request, LEGID will send a notfication to the Service’s partners, who match the Request creteria. The notification sent to Service’s partners can contain the name of the User, the deadline set by the User and a description of the legal problem. In response to full details of the Request, the Service’s partner shall make a proposal for the Request, or inform of its inability to render the services listed in the Request. If the Service’s partner does not wish to make a proposal for a certain Request, he/she must refuse of the Request by using the special function of the Service. If the Service’s partner refuses to execute the Request, LEGID will continue to search for another Service’s partner to execute the Request.
2.1.2. The Service selects the Service’s partner for the User, taking into account the areas of specialization, language skills, competencies, education and experience of the Service’s partner. If the circumstances of the Request show that the Service’s partner is unable to perform the task, the Service’s partner may extraordinary cancel the Request (incl. the contract for legal services) within 24 hours. In the event of an extraordinary cancellation the Request of the User will be offered to other Service’s partners within the Service according to the circumstances of the Request.
2.1.3. The User may extraordinary cancel the Request (incl. the contract for legal services) within 24 hours. In case the User cancels the Request that is deemed to have been taken by the Service’s partner for execution (the User has accepted the proposal of the Service’s partner), this will result in a cancellation fee in the amont of 15% out of the fee for services agreed by the User and the Service’s partner (hereinafter referred to as the Cancellation Fee).
2.2. Information on services involving the legal services (hereinafter referred to as the Information) is provided by partners of the Service.
2.3. LEGID shall not be held liable for the content and/or relevance of the Information provided by the Service’s partners, including information on the cost of the partners’ services and on their current availability. The User shall independently (using the User Interface, hereinafter referred to as the UI, of the Service) agree the acquisition of services with the partners in accordance with the partners’ proposal on the provision of services and the contract for legal services concluded through the Service. LEGID shall not be held liable for financial and any other transactions effected by the User and the partners and for any consequences of the acquisition of the partners’ services by the User.
2.4. In case there are no proposals of the Service’s partners on the provision of services according to the circumstances of the Request, the latter shall remain active in the system for 24 hours. Upon expiration of the Request, the User will receive a notification with the suggestion to place the Request again or to cancel it. Upon the receipt of proposals of the Service’s partners on the provision of services according to the circumstances of the Request, the User may compare the received proposals and accept the one, which is more cost-effective at the User’s discretion. Upon the acceptance of the proposal, an answer of the Service’s partner to the Request shall be received within 24 hours. The fee for services (in the amount specifically agreed by the User for a certain Request using the Service’s UI) will be blocked in the Linked Bank Card for the time specified above. When the said term expires, the fee for services will be discharged in the amount agreed by the User (for this Request), unless an answer of the Service’s partner to the Request is received by that time, in which case the fee for services shall be charged, pursuant to the provisions of the Terms.
2.5. The User can rate services of the Service’s partners and comment / leave feedback on the services of the Service’s partners, following the receipt of services of a corresponding partner. Ratings and feedback of users are posted on the Service, and are based on the data on the performance of services provided by the Service’s partners. LEGID reserves the right to refuse to post any ratings / feedback and remove / block, at any time, any rating / feedback posted by the User at own discretion and without giving any reason.
2.6. The User may, within 7 days following the receipt of services, assign a rating to a partner in the Service’s UI and click “Confirm” or not assign a rating to the partner (not specifying the number of stars) and click “Confirm”, initiating the acceptance of the services or click “Dispute” and initiate a dispute in respect of the services received. If the User does not assign a rating to the partner and click “Confirm”, the Service assigns a high rating to the partner (5 stars).
2.7. If the User, within 7 days following the receipt of services, does not confirm the acceptance of the services, the Service confirms it automatically and assigns a high rating to the partner (5 stars). The fee for services (in the amount specifically agreed by the User for a certain Request using the Service’s UI) will be blocked in the Linked Bank Card for the time specified above, during which the User can initiate a dispute for this Request. When the said term expires, the fee for services will be charged in the amount agreed by the User (for this Request), unless a dispute is initiated and/or a solution to the dispute provides for a different resolution.
2.8. If the User, within 7 days following the receipt of services, initiates a dispute, the Quality Control Partner (hereinafter referred to as the QCP) of the Service, being a professional in the field of expertise, shall resolve the dispute within 7 days as of the submission of the dispute. The QCP shall notify the parties of the dispute upon resolution of the dispute with a solution applied to the dispute.
2.9. If the User wins the dispute, no rating is assigned to the partner; if the latter wins the dispute, the Service assigns a high rating to the partner (5 stars).
2.10. If, following the inspection caused by such a dispute, LEGID decides to refund the fee for services, in whole or in part, the said amount shall be refunded to the bank account of the Linked Bank Card.
2.11. The User acknowledges and agrees that the QCP has the right for dispute resolution (quality control) of such a dispute and that a solution applied to the dispute within the Service shall be final, binding and non-contestable. The Service’s QCP executes a quality control of the legal services being provided by the Service’s partners, processes a dispute between the User and a partner and offer compromise solutions. The quality control constitutes a subjective evaluation given by the Service’s QCP in respect of the legal services received.
2.12. In case the User does not agree with the solution applied to the dispute made by the QCP, the User may require from LEGID information on the name and contacts of the Service’s partner. Disputes arising out of or in connection with the provision of legal services shall be finally settled between the User and a partner.
2.13. The User acknowledges that according to the Law on Obligations Act the right of withdrawal shall not apply to legal services received through the Service in case the provision of legal services or other continuous performance in connection with the provision of legal services (translations, experts’ fees and other collateral fees) is completely fulfilled and thereby the User forfeit the right of withdrawal upon performance of the Request by any of the Service’s partners.
2.14. LEGID reserves the right, at its own discretion, to limit access of the User to the Service or to certain functions of the Service or block the User’s entire account upon multiple violations of the Terms, or take any other reasonable measures in relation to the User in order to respect legislative requirements or third-party rights and legitimate interests.
2.15. By using the Service the User gives its conscious consent to LEGID to process personal information (including personal details) of the User, to transfer personal information of the User to LEGID’s partners and to process personal information of the User by LEGID’s partners to provide services to the User within the Service. By using the Service the personal information of the User is transferred to third parties to be processed under the terms and for the purposes determined in the Privacy Policy available at: (https://www.legid.app/app-privacy-policy-c).
3. Payment for Services Involving the Legal Services
3.1. The User shall pay for services involving the legal services provided to the User in compliance with the Request posted by the User through the Service and the proposal picked by the User from the proposals communicated to the User by the Service, exclusively using the function of cashless payment through a Linked Bank Card (cl. 3.2 hereof); in this case, LEGID acts on the authority of the relevant partner or otherwise involving an authorized payment processor, an electronic money processor or another party to settlements or a party to communication, and receives payments as an agent (as a commercial agent) of the partner or otherwise (hereinafter referred to as cashless payments). LEGID does not guarantee that the operation of the Service will be without malfunctions in view of enabling cashless payments.
3.1.1. Conditional on the User’s region, cashless payments can be made without the participation of LEGID as a payment recipient or with the participation of LEGID as another party to settlements or a party to communication.
3.1.2. The User sets up payment information in the Service’s UI. In this regard, in case the User is unable to make cashless payments for any reason (including, but not limited to temporary technical inaccessibility of this function, temporary or constant impossibility to make cashless payments using the Linked Bank Card, insufficient funds in the Linked Bank Card or any other relevant mulfunctions), the User still has access to place requests and receive legal services, which are subject for payment on the same terms as agreed in the Service when the reason of inablity to pay cease to exist.
3.1.3. In course of cashless payments, the User can, along with payment for services involving the legal services, at own discretion, make an additional cashless payment to the partner as a percentage of the cost of the paid service involving the legal services (hereinafter referred to in these Terms and the UI as the Success fee).
3.2. The User shall specify the Linked Bank Card in the Service’s UI indicating the following details: Bank card number; Valid through; Security code.
If the bank card details are true, valid and it is technically feasible to use this card within the Service, the said bank card becomes the Linked one and can be used for cashless payments (cl. 3.1 hereof). All Linked Bank Cards are displayed in the Service’s UI; for the User’s convenience and safety, the UI displays the last 4 digits of the Linked Bank Card’s number.
3.2.1. The User can also specify the Linked Bank Card in the interface of third-party services supporting integration with the Service and parties to the settlements and authorizing the User’s payment. In this case provisions of cl. 3.2 and 3.3 hereof shall not apply.
The use of third-party services specified herein is governed by rules of such third parties. LEGID shall not be held liable for the use of such third-party services by the User and does not guarantee the proper and safe operation of such third-party services.
3.3. When the Linked Bank Card is added and following the placement of the first Request of the User in the Service, the amount limited to (or any other amount in the User’s region currency) will be charged to confirm that the Linked Bank Card details are true and valid; if the transaction is successfully effected, the said amount will be refunded to the User. Failure to charge the said amount means that it is impossible to add this Linked Bank Card.
3.4. When adding or changing the Linked Bank Card, the User can set and/or change the default amount of the Success fee, if any, through the Service’s UI; the User can change the amount of the Success fee for a certain Request in the Service’s UI, following the receipt of services.
3.5. The Success fee (in the default amount or in the amount specifically indicated by the User for a certain Request) will be charged from the Linked Bank Card, if the User, within 7 days following the completion of the Request, assigns a high rating to a partner (4-5 stars) in the Service’s UI and clicks “Confirm” or assigns neither high nor low rating to the partner (does not specify the number of stars) and clicks “Confirm”.
3.6. If the User, within 7 days following the receipt of services, assigns a low rating to the partner (1-3 stars) in the Service’s UI and clicks “Confirm”, no Success fee will be charged from the Linked Bank Card.
3.7. If the User, within 7 days following the receipt of services, did not click “Confirm”, the amount of Success fee (in the default amount or in the amount specifically indicated by the User for a certain Request) will be blocked in the Linked Bank Card for 24 hours, during which the User can increase or reduce the amount of Success fee for this Request. When the said term expires, the Success fee will be charged in the amount specified by the User (by default or for this Request).
3.8. Cashless payments shall be made by the User involving an authorized payment processor or electronic money processor and shall be governed by rules of international payment systems, banks (including the bank that issued the Linked Bank Card) and other parties to settlements.
3.9. When indicating its details pursuant to cl. 3.2 hereof and upon using the Linked Bank Card within the Service, the User affirms and ensures that the information on the indicated bank card issued in its name is valid, reliable and full; it complies with rules of international payment systems and requirements of the bank that issued the Linked Bank Card, inter alia, in relation to the procedure of cashless payments.
3.10. The User acknowledges and agrees that any and all actions performed within the Service using the mobile phone number indicated by the User, inter alia, cashless payments with the use of the Linked Bank Card, are deemed to be performed by the User.
3.11. If the User disagrees with the fact and/or the amount of cashless payments and has any other questions associated with the use of the Linked Bank Card within the Service, it may contact LEGID by phone numbers specified by the Service and/or through the help desk (feedback) in the UI within 15 days from the date of cashless payments or any other actions or events that prompted the request.
If, following the inspection caused by such a request, LEGID decides to refund the cashless payment amount, in whole or in part, the said amount shall be refunded to the bank account of the Linked Bank Card. The refund shall be made involving an authorized payment processor or electronic money processor and governed by rules of international payment systems, banks (including the bank that issued the Linked Bank Card) and other parties to settlements. LEGID is not a party to settlements made by the Linked Bank Card and it acts as an agent that transfers requests to partners being a recipient of payments under the transactions with the Linked Bank Card.
4. Other Provisions
4.1. LEGID reserves the right to require, at any time, from the User to consent to the Regulatory Documents and confirm the details specified within the Service, including the details of the Linked Bank Card, and request supporting documents in this respect; failure to provide such documents may, at LEGID’s discretion, be deemed as the provision of unreliable information and have implications stipulated by cl. 2.13 hereof.
4.2. Any questions or suggestions regarding these Terms, as well as complaints with regard to the Service, may be addressed by the User to the Help Desk Service (https://www.legid.app/#contacts) or to LEGID according to the contact details in cl. 5 of the Terms. LEGID shall answer on the query of the User no later than within 15 days.
4.3. LEGID is willing to attempt to reach an agreement with the User on the settlement, out of court, of any disputes between LEGID and the User arising in relation to the provision of the Service, but in case complaints could not be resolved by means of the internal complaint-handling system, the User shall adress to the Consumer Protection Authority of the country of its residence.
